BPC Capital was founded to address two structural market failures simultaneously: the inability of SME owners to access fair succession solutions, and the inability of sophisticated investors to access SME cash flow as an investment asset class.

Our Mission

Australia has 2.6 million SMEs. The vast majority are owned by individuals who have dedicated their careers to building them. As those owners approach retirement, they face a choice that the market has made unnecessarily difficult: sell to a trade buyer who may not share their values, close the business and walk away, or keep working indefinitely.

BPC Capital exists to offer a fourth option — one that provides liquidity, respects the owner's legacy, and creates a managed transition that benefits employees, customers, and the broader community.

At the same time, we provide sophisticated wholesale investors with access to an asset class that has historically been the preserve of the largest private equity firms — Australian SME equity and cash flow, governed and structured for institutional-grade investors.

Managed Investment Scheme
Registered with ASIC as a managed investment scheme — the same regulatory framework as institutional funds.
AFSL Licensed
Operating under an Australian Financial Services Licence through an independent Responsible Entity.
Fixed Unit Trust
Structured as a fixed unit trust — explicitly excluded from the July 2028 discretionary trust minimum tax reforms.
Compliance Committee
Independent Compliance Committee monitors scheme compliance with its constitution and ASIC requirements.
External Custodian
Assets held by an independent external custodian — segregated from BPC Capital's own balance sheet.
Audited Reporting
Annual financial statements audited by a registered company auditor. Quarterly investor reporting and AMIT tax statements.
